ABOUT THE TRUST
The Exeter City FC Supporters’ Trust, or to give it its full name The Exeter City AFC Supporters’ Society Limited, is a Co-operative & Community Benefit Society and as such is registered with the Financial Conduct Authority (FCA).
Under the rules of the FCA a Society must have a set of rules. These rules state clearly what the Society is allowed to do and not do. It is very important that the Constitution (rules), and any changes made to it, allow the Exeter Trust Board of Society to manage effectively.
Our rules are based on the original model rules provided by Supporters Direct with the variable portions amended to reflect our circumstances and views. Over the period 2004-2006 it became apparent that some of these rules needed updating and amending to reflect the changing situation we found ourselves in and indeed Supporters Direct themselves circulated some suggested amendments.
After an extensive review and prolonged discussion a substantial number of amendments were presented to the 2006 AGM for adoption and were duly approved. Under the rules of the FCA a Society may amend its constitution by either registering a complete amendment of the rules or a partial amendment. We submitted the complete amended rules for approval to the FCA [the FCA can refuse to accept any rules it does not consider appropriate or legal] and the FCA duly approved them.
For information the FCA defines a partial amendment as “when the current rule book remains registered, but some rules are altered, added or deleted (rescinded). Partial amendments are listed at the end of the rules, they are not incorporated into the main body of the rules.
This is what would happen if only a small number of rules were changed at any subsequent AGM.
